Introduction

Welcome to use Margay software (hereinafter referred to as "the software") and services!

In order to use this software and services, you should read and understand the "Margay Software License and Service Agreement" (hereinafter referred to as "this Agreement"). Before you use this service, please carefully read and fully understand the terms of this agreement, especially the terms that exempt or limit Margay's liability, the terms that limit user rights, the terms that agree on dispute resolution methods and jurisdiction, etc., as well as separate agreements for activating or using a certain service. Limitations, liability exemption clauses or other clauses involving your significant rights and interests will be highlighted in bold to remind you to pay attention.

This agreement is an agreement signed between you and Margay (hereinafter referred to as "Margay" or "we") regarding your use of this software and services. You accept this Agreement expressly or implicitly by checking or clicking "Agree", or if you install, register, log in, or use this service, you will be deemed to have read and agreed to be bound by this Agreement.

If you do not agree to this agreement, you can stop using this software and services. You should not download, install or use the Software and Services unless you have read and accepted all the terms of this Agreement.

If you are under 18 years old, please read and judge whether you agree to this agreement under the supervision and companionship of a guardian, and use this software and services under the guidance of a guardian. In addition, special attention should be paid to the usage tips for minors.

Before you accept this agreement, please read carefully and fully understand the following special tips:

  1. This software is an artificial intelligence ("AI") technology tool designed to help you improve operational efficiency. Based on the text, files or other forms of content you input (hereinafter collectively referred to as "input content"), it uses generative artificial intelligence technology (hereinafter referred to as "large language model") to understand the input content, identify operation intentions, and correspondingly generate command line instructions, code, text or other forms of content (hereinafter collectively referred to as "output content"), thereby assisting you to call local devices or third-party tools to perform local or cloud operations.

  2. This software only serves as an interactive medium between you and large models, tools, agents, and workflows, providing you with technical assistance such as model calling, tool calling, Agent execution, and workflow orchestration. All output content is generated by the large language model based on your input content, involving operations on your local device files, system or locally installed software, and will be executed through your local terminal or local tools based on your input, confirmation, authorization or configuration. The behavior of accessing and operating local devices and third-party software performed by outputting content, as well as your behavior of installing and using various tools, agents, and workflows, are all regarded as your own independent behavior, and you are independently responsible for your use of this service and its consequences. Please be sure to operate with caution and protect the security of your information and property.

  3. This software supports automation capabilities such as Agent's autonomous execution of tasks, automatic workflow running, and automatic calling of tools. Although we will set up confirmation links when involving sensitive operations, automated execution may still produce unexpected results. You should fully understand the relevant risks, prudently configure Agent permissions, workflow parameters, and tool authorization scope, and bear responsibility for the results of automated execution.

1. Definition

1.1 Individual users: Refers to users who use this software and services as natural persons.

1.2 Enterprise users: Refers to users who use this software and services in the name of legal persons, unincorporated organizations, government agencies, public institutions, social organizations, partnerships, individual industrial and commercial households, etc.

1.3 Enterprise Administrator: Refers to the person authorized by the enterprise user who is responsible for managing the enterprise workspace, members, model configuration, Agent, workflow, knowledge base, permissions and security policies. The administrator can be one or more people.

1.4 Enterprise members: Refers to individuals who join the enterprise workspace and use this software and services within the scope of enterprise authorization, including employees, outsourcers, partners of enterprise users, or other personnel authorized by enterprise users. Enterprise members are a type of individual users. When they use the service using accounts managed by enterprise users, the special provisions of this agreement regarding enterprise data also apply.

1.5 Enterprise data: refers to the data submitted, generated or generated by enterprise users and their enterprise members during the use of this software and services, including enterprise information, organizational structure, account and permission information, knowledge base content, Agent configuration, workflow configuration, service usage records, Token resources and consumption records, log audit information, as well as input content and output content of enterprise administrators and enterprise members, etc. The processing purposes and management rights of enterprise data are determined by enterprise users in accordance with the law.

1.6 AI model: refers to the large language model or other artificial intelligence model that provides the software with natural language understanding, reasoning, generation, planning and other capabilities, including Margay's built-in model, third-party models and models that users can access by themselves.

1.7 Agent: Refers to an intelligent agent that can independently perform task planning, tool invocation, knowledge retrieval, perform operations and generate results based on user goals. Agents can be created, configured, shared by users, or managed centrally by the enterprise.

1.8 Digital clone: refers to the long-term intelligent assistant provided by Margay to users, which can combine long-term memory, historical conversations, knowledge base and user configuration to provide users with continuous and personalized intelligent collaboration capabilities.

1.9 Workflow: refers to the multi-step task execution process configured by the user or automatically generated by the Agent, which can include execution logic such as multiple Agents, tool calls, model calls, and conditional judgments.

1.10 Tools: refers to various external capabilities called by this software, including but not limited to MCP services, CLI tools, browser automation, local programs, API services, databases, office software, file systems and other third-party services accessed by users.

1.11 Input content: refers to the text, files, pictures, audio, video, prompts, instructions, contextual content and other forms of information you submit through this software.

1.12 Output content: refers to text, code, documents, pictures, instructions, execution plans and other forms of content generated or processed by this software through large models based on your input content.

1.13 User: Unless otherwise specified, this title refers to both enterprise users, enterprise administrators and individual users, also known as "you".

1.14 Laws and regulations: refers to applicable effective legal documents, including laws, legal interpretations, administrative regulations, local regulations, autonomous regulations and separate regulations, departmental regulations, local government regulations, other normative documents, interpretations of specific application laws (judicial interpretations), etc.

2. Scope of the Agreement

2.1 Scope of applicable subjects of the agreement

This agreement is an agreement between you and Margay regarding your downloading, installation, registration, and use (hereinafter collectively referred to as "use") of this software and services. "Use" includes your direct use of the software and services, or the act of calling or operating the software and services through third-party software, systems, tools, MCP services, agents, workflows, automated programs, etc. that you authorize, configure, and access.

2.2 Agreement and conflict terms

This agreement forms a unified whole with the "Margay Privacy Protection Guidelines" and related supplementary agreements. If there is any conflict between this Agreement and the above content, this Agreement shall prevail. For specific functions or services, we may formulate separate agreements or rules, which have the same legal effect as this Agreement.

2.3 Protocol update

We may adjust this agreement or service rules based on legal and regulatory requirements, changes in service content, etc., which will be published on the web page (or published in other legal ways such as push notifications, pop-up windows, etc.). You can check the latest version of the agreement on the relevant page. If you continue to use the software and services after the agreement is adjusted, it means that you have agreed to the revised content. If you do not accept the adjusted agreement, you can stop using this software and services.

3. About this software and services

3.1 Contents of this software and services

3.1.1 This software is a new generation AI Agent collaboration platform for individual and enterprise users. It provides digital avatars, multi-agent collaboration, knowledge management, workflow orchestration, tool invocation, document generation, automated task execution, local intelligent assistants and other capabilities to help users complete knowledge management, content creation, software development, office collaboration and business automation more efficiently. Affected by factors such as different terminal models and operating systems, the content of this software and services may vary.

3.1.2 You can create and configure Agents, workflows and tools in this software. We recommend that you give priority to the features we provide or recommend. If you choose to install and use third-party tools, MCP services or skills that are not provided or recommended by us, it is recommended to guard against security risks such as malicious prompt word injection, unauthorized access, and backdoor programs. Please carefully check the security and applicability before installation and authorization to ensure that the tools used are legal and compliant. You are solely responsible for the tools you install and use, and bear the corresponding responsibilities and risks.

3.1.3 If you use the online search function, this software may retrieve, display or quote information publicly released by third parties based on your input content, and may also analyze, integrate, summarize and generate output content based on the search results. Third-party public information is produced or provided by the corresponding third party, which does not mean that we endorse the position or viewpoint of the relevant content, nor does it mean that we endorse its authenticity, accuracy, etc. This software will combine user input content and rely on large language model technology to analyze and integrate the retrieved information. The output content may be biased and is for reference only. Please verify it before use.

3.1.4 In order to improve service efficiency, this software may use parallel processing technology (such as creating subtask processes, multi-Agent collaboration) to simultaneously perform multiple operations entrusted by you. This processing technology is only used to implement the functions of this software. When parallel processing involves sensitive operations such as your files and data, we will prompt you in an appropriate manner.

3.1.5 This software may provide intelligent auxiliary functions for specific fields or tasks from time to time, including but not limited to function entrances displayed with "experts", "expert groups" or similar names. These functions are based on artificial intelligence technology to achieve information processing and content generation. They do not constitute professional services that require legal qualifications or licenses, and should not be regarded as professional opinions issued by professional service personnel.

3.2 Form of this software and services

We may use the Web client, PC client (Windows, macOS), mobile application, enterprise management backend, open platform and innovative forms that may appear with the development of technology to provide you with services. The actual functions and service content are subject to the version you are using.

3.3 Scope of this software and service license

3.3.1 Margay grants you a non-transferable, non-sublicensable, non-exclusive license to use the software and services in accordance with this Agreement. You may use the Software and Services on one or more devices for non-commercial purposes. Enterprise users can use it in a commercial environment under enterprise authorization.

3.3.2 Other rights not expressly authorized by this Agreement are still reserved by Margay, and you must obtain additional written permission from Margay if you want to exercise them.

3.4 Equipment required for this software and services

This software and services require you to have a compatible device terminal and operating system. The device terminal must also be able to stably access the network, otherwise we may not be able to meet your needs for using this software and services. Please note that due to factors such as different terminal models and operating systems, the functions and experience of this software and services may vary.

3.5 Enterprise User Management

3.5.1 If you are an enterprise user or enterprise administrator, you should fully understand and agree when using this software:

(1) Margay only provides neutral platform and technical services and will not participate in the business activities of corporate users. Enterprise users shall be responsible for their actions and results under this service and disputes with third parties, ensure that their enterprise administrators and enterprise members abide by the relevant provisions of this agreement, and shall be responsible for the actions of enterprise administrators and enterprise members. Enterprise users who view, export or manage enterprise member accounts, permissions, service usage records, Token resources and consumption records, input content, output content or other data must ensure legal and proper purposes and authorization.

(2) Enterprise administrators have the right to use the enterprise management system, including viewing and managing the organizational structure of enterprise users, conducting authorization management, adding other enterprise members as administrators and managing their permissions, and viewing and managing enterprise member account status, permissions, service usage records, Token resources and consumption records within the scope of enterprise user configuration and activation of relevant functions. The specific scope of authority of the enterprise administrator is subject to the enterprise user configuration and what is actually provided by the software management system. The behavior of enterprise administrators using the enterprise management system is deemed to be that the enterprise users have fully authorized the personnel; the usage behaviors of enterprise administrators represent the wishes of enterprise users, and enterprise users recognize the results of their operations and assume corresponding responsibilities. Enterprise users should carefully authorize designated enterprise administrators, and adjust authorization in a timely manner when personnel changes.

(3) The enterprise administrator confirms that he has been authorized by the enterprise user to use the enterprise management system as the enterprise user's representative, and ensures that all operations are carried out in accordance with the authorization and requirements of the enterprise user, and comply with this agreement.

3.5.2 If you are a member of an enterprise, you should fully understand and agree when using this software:

(1) Accounts of enterprise members are opened, assigned or included in enterprise management by enterprise users. You can apply to the enterprise user or enterprise administrator for deactivation, withdrawal or deletion.

(2) Accounts, permissions, usable functions, Token resources and other matters of enterprise members are all configured and managed uniformly by enterprise users. Relevant management strategies are determined by corporate users, and corporate members are informed and authorized in accordance with the law.

(3) Enterprise users manage enterprise data by themselves and must ensure that data collection, processing and other usage behaviors comply with legal and regulatory requirements. We will process relevant data in accordance with the law in accordance with the instructions of the enterprise users and the agreement between the two parties.

(4) The information submitted or generated by enterprise members for the purpose of performing duties, using enterprise-ordered resources, or accepting enterprise management, etc., belongs to enterprise data. The enterprise may dispose of relevant data in accordance with the internal management system and its agreements with enterprise members.

(5) If enterprise members have questions about enterprise users’ management policies, data processing behaviors, etc., they should provide feedback to the enterprise users or enterprise administrators.

3.6 For detailed descriptions, operating guidelines, usage restrictions, etc. of each function of this software, please refer to the product page and function documentation. We may adjust, add or remove the functions of this software based on technological development and business needs. We will notify you by reasonable means such as product page announcements and pop-up prompts.

4. Obtaining software

4.1 You can obtain this software and services directly from the Margay official website (https://margay-ai.com/), or from a third party authorized by Margay.

4.2 If you obtain this software or an installation program with the same name as this software from a third party not authorized by Margay, we cannot guarantee that the service can be used normally, and the resulting risks are borne by you.

5. Software installation and uninstallation

5.1 Margay may develop different software versions for different terminals, systems, etc. Please install the appropriate version according to the actual conditions of your terminal, system, etc., so that you can use this software and services normally.

5.2 In order to provide better and safer services, Margay may recommend you to install other software or components when installing this software. You can freely choose whether to install it according to your personal wishes.

5.3 If you no longer need to use this software or need to install a new version of the software, you can uninstall and update it freely.

6. Software updates and adjustments

6.1 Software update: In order to improve user experience and improve service content, Margay will continue to work hard to develop new services and provide you with updates to the software and services from time to time (these updates may take the form of software replacement, modification, function enhancement, version upgrade, etc.), or change or limit some functions of the software.

6.2 Update Notice: After the new version of this software is released, the old version of the software may not be able to use, obtain relevant customer service and maintenance services, please check and download the latest version in time. Margay will notify you through pop-up windows, red dot prompts on service pages, etc. when there is a new version of the software.

6.3 Service adjustment: Due to the rapid development of the Internet industry and artificial intelligence technology, you understand and agree that we have the right to make adjustments to this software service based on business development, changes in laws, regulations and regulatory policies, such as changing service content, suspending or terminating all or part of the service. We will notify users in advance through prominent means, such as application push, site push, service announcements, etc.

7. Protection of user personal information

7.1 Protecting users’ personal information is a fundamental principle of Margay. Margay will take reasonable measures to protect users' personal information. Except under circumstances stipulated by laws and regulations, Margay will not disclose users' personal information to third parties without the user's authorization. Margay uses professional encryption storage and transmission methods for relevant information to ensure the security of users' personal information.

7.2 For more information on how we collect, use, store and protect your personal information and your rights, you can consult the "Margay Privacy Protection Guidelines". This guideline is an integral part of this Agreement and has the same legal effect as this Agreement.

8. Main Rights and Obligations Terms

8.1 Account usage specifications

8.1.1 This service may provide you with multiple registration and login methods. You must abide by this Agreement and the relevant usage rules issued by Margay that are applicable to this software account. If you violate the aforementioned agreements and rules, your service account may be restricted from use and other consequences.

8.1.2 To ensure the security of your account, please keep your account number and password properly. Your account is for your personal use only, and you may not register more than a reasonable number of accounts. You may not give, borrow, rent, transfer, sell or otherwise allow others to use your account. Non-initial registrants may not use the account through donation, inheritance, lease, transfer or other means.

8.1.3 When using some functions of this software and related services, in accordance with laws and regulations, you need to fill in true and accurate identity information and complete real-name authentication; when relevant information changes, please update it in time. If the information you fill in is incomplete, untrue, non-standard, and illegal, you may not be able to use this service normally.

8.1.4 If it is discovered that your account may be involved in fraud, false registration, or other abnormal situations or risks, Margay has the right to re-verify your account and information in accordance with relevant laws and regulations, and may, based on the risk situation, take corrections within a time limit, limit functions, suspend use, close the account, prohibit re-registration, and other disposal measures stipulated in this agreement.

In the process of providing services to you, if Margay discovers clues or risk information involving fraud, impersonation and other illegal crimes, Margay has the right to transfer the information to the public security, finance, telecommunications, network information and other competent authorities in accordance with relevant national regulations.

8.1.5 If you need to cancel your account, you can submit an application through the cancellation function in the product or contact customer service. Before logging out, please read the prompts or related instructions on the logout page carefully, and confirm that the relevant services, data, rights, fees and other matters in the account have been properly handled.

8.2 User precautions

8.2.1 You understand and agree: In order to provide you with services, this software and services may use the processor, storage, network bandwidth and other resources of your computer, mobile phone, tablet and other terminals. During the use of this software and services, data traffic, model invocation, third-party service invocation and other related expenses may occur. You should learn about the relevant tariff rules from the corresponding service provider and bear the relevant expenses yourself.

8.2.2 You can operate local devices or third-party software through this software. We hereby explain to you:

(1) This software can call tools to perform corresponding operations on your files or systems based on your input content, confirmation or configuration. This software only provides technical assistance such as tool calling. We recommend that you use prudent judgment and operate with caution, especially operations that may have significant or irreversible effects such as writing, deleting, moving files, or modifying key system configurations.

(2) All operations on third-party software (such as accessing third-party software, logging into its account, obtaining or publishing content, executing transactions, etc.) are performed according to your instructions. This software only provides technical assistance such as communication technology. The execution link is initiated by your device to the third-party software service provider in your name and identity (such as using your IP address), and the third-party software service provider will provide services to you. We recommend that you carefully read and abide by the service agreement and usage specifications of the third-party software.

You understand the above instructions and agree that all operations when you use this software shall comply with laws and regulations, public order and good customs, and shall not infringe third-party intellectual property rights, data privacy and other legitimate rights and interests, and shall not interfere with the normal operation of third-party software or services or conduct other illegal activities that may infringe upon the legitimate rights and interests of third parties. You are solely responsible for the consequences of operating local devices or third-party software through this software, including disputes, penalties or losses with third parties.

8.2.3 If you stop using the software and services, or the software and services stop being provided to you due to expiration, termination, cancellation, etc., we will save your relevant data within the period required by laws and regulations, agreed by both parties, or necessary to achieve the purpose of the service, and delete or anonymize the relevant data after the retention period expires. Within a reasonable period after the expiration, termination or cancellation of the service, if product functions or technical conditions permit, you can still apply to export or retrieve relevant data according to the methods we provide. If your services are suspended, terminated or canceled due to violation of laws and regulations, this Agreement or relevant service rules, we have the right to restrict, suspend or refuse to provide you with data export, migration and other services in accordance with the law and contract, but this will not affect your rights to query, copy and delete personal information in accordance with the law.

8.2.4 On the premise of complying with legal and regulatory requirements, Margay has the right to determine the maximum storage period of a single user's data in this software and service based on the actual situation, and allocate the maximum data storage space to it on the server. Users can back up relevant data in this software and services according to their own needs.

8.3 Configuration and use of AI model

8.3.1 This service may provide a default large model for your use. In order to comply with relevant national laws and regulations on deep synthesis services and generative artificial intelligence services, and to promote the transparent use of artificial intelligence-generated synthetic content, we will add explicit or implicit identification to the product interaction interface or artificial intelligence-generated synthetic content. Please read and understand the relevant logo management requirements carefully, and you are not allowed to use this service to produce, publish, or disseminate false, untrue, infringing, or other content that violates laws and regulations. Specific identification methods include: displaying "AI generated" or other prompt text containing artificial intelligence elements and generated synthetic elements at appropriate locations such as the top, bottom, and background of the product interaction interface or near the display content. We will save log information in accordance with laws, regulations and relevant national regulations. If you disseminate this service to generate synthetic content through the Internet, you should maintain the accuracy and completeness of the above content identification.

8.3.2 You can configure the large model service you obtain (referred to as "custom model") in this software. When you use this function, this software only provides an interactive interface and model communication technology. Your input content will be directly sent to the corresponding large model for processing, and the output content will also be directly returned by the large model. You understand and agree:

(1) You guarantee that the customized model you configure was purchased or authorized through legal channels, and you are not allowed to access third-party model services from unknown, illegal or infringing sources.

(2) You are responsible for all costs incurred by calling custom models (such as Token consumption fees, subscription plan fees, etc.). Since the input content may continuously call the custom model, we recommend that you pay close attention to the account fees of the custom model to avoid unexpected fees.

(3) When you configure and use custom models, you must comply with the rules and requirements of the corresponding third-party large model service provider. Disputes or losses arising from custom model services shall be resolved between you and the third party.

(4) We reserve the right to review the source of the custom model you configure. If laws, regulations or national agencies make relevant provisions, or we have reasonable grounds to believe that the model you access has the risk of violating laws and regulations, we have the right to unilaterally suspend, restrict or prohibit access to the model.

8.3.3 This software supports connecting to the user's locally deployed large language model or inference service (referred to as "local model"). When a user uses a local model, the model inference process is completed by the user's local environment. Except for completing request transmission, status synchronization and necessary system logs, Margay will not actively upload model input content or output content to the platform server. Since the running environment of local models is maintained by users themselves, users should ensure their network environment, model security and system stability.

8.3.4 Due to the limitations of existing technology, large models may have limitations such as illusions, understanding or execution deviations. This software and services may also be affected by external risks such as prompt word injection and poisoning attacks, resulting in output content or operation results that are not as expected. In extreme cases, it may lead to risks in data, system, permissions, expenses, etc. Please carefully evaluate your use of the service, verify the input content, output content and execution results, and bear the corresponding consequences.

8.3.5 Based on the technical characteristics of large models and artificial intelligence, the output content generated, displayed or provided by this software and services may be random and uncertain, and the same or similar input content may generate the same, similar or different output content. Please make independent judgment, verification and necessary adjustments based on specific usage scenarios before use.

8.3.6 We are committed to providing users with safe, stable, and continuous services. You understand and agree that although we have tried our best, due to the limitations of the development of artificial intelligence and large model technology, we cannot fully guarantee:

(1) This service or algorithm model will meet your actual or specific needs or purposes.

(2) This service or algorithm model is 100% accurate and reliable, functionally available, continuously stable, and has no faults.

(3) The large language model and related technologies that this service relies on can fully understand the content input by the user and output the corresponding content just like humans, and can discover potential risks and ethical issues in your input or the output of this service.

(4) The output content has absolute authenticity, completeness, accuracy, timeliness and practicality.

(5) The output does not have any defects, false content or any unreasonable content that may cause discomfort to users.

In view of this, please pay attention to the output of the large model and make a rational judgment based on your actual situation.

8.4 Tool calling and automation capabilities

8.4.1 This software supports calling local or third-party tools through Agent, workflow and user active operations to complete complex tasks, automated processes and cross-system collaboration. We will only perform relevant operations when the user actively initiates, explicitly authorizes, or in accordance with the user's pre-configured workflow. We will not actively call any tools or access user resources without authorization.

8.4.2 The types of tools supported by this software include but are not limited to: MCP services, CLI tools, browser automation, file operations, local program calls, API calls, database connections and third-party application integration. The data processing methods involved in different tools may be different. For specific rules, please see Chapter 6 of the "Margay Privacy Protection Guidelines".

8.4.3 You understand and agree that important operation records generated during tool invocation will be retained by the system for task tracking, problem troubleshooting and security auditing. For MCP services, third-party tools, etc. that users access by themselves, the data processing behavior is the responsibility of the corresponding service provider. Margay is not responsible for the data processing methods of third-party services.

8.4.4 For unrecoverable operations involving deletion, overwriting, etc., the product may provide confirmation prompts based on specific scenarios to reduce the risk of misoperations. However, you understand and agree that the confirmation prompt is only an auxiliary safety measure, and you still bear the final responsibility for review and decision-making.

8.4.5 Users can add, modify, and delete tools at any time according to the management functions provided by the product, update access credentials, revoke tool authorization, stop workflow execution, and disable the Agent's permission to call tools. After revoking authorization or deleting related tools, Margay will stop subsequent calls.

8.5 Agent permission management

8.5.1 Margay implements unified management of Agent permissions and follows the principles of least privilege, user authorization, on-demand use and manageability. Agent only obtains the permissions necessary to complete the current task and will not actively apply for or use permissions unrelated to the task.

8.5.2 Agent may invoke the following permissions within the scope of user authorization: file system permissions, browser permissions, system command execution permissions, local program call permissions, clipboard permissions, network access permissions, third-party service access permissions and enterprise resource access permissions. The permission ranges of different Agents are configured by users or enterprise administrators.

8.5.3 You understand and agree that the automatic execution of tasks by Agent may produce unexpected operation results. Although we take security measures such as permission verification, abnormal behavior detection, and sensitive operation auditing, you should still review and judge its accuracy and potential consequences before performing operations, and bear responsibility for the results of Agent execution.

8.5.4 Users or enterprise administrators can view, modify, restrict or revoke the permissions that Agent has obtained at any time. After the permission is revoked, the Agent will stop accessing the corresponding resources.

8.6 Fee Rules

8.6.1 When you use this software, we may use Token or points as the basic pricing voucher for calling related functions and consuming computing resources in this software. Tokens or points do not have currency attributes and do not have the circulation properties of legal currency. This service may provide estimated consumption for your reference based on different tasks and calling models. Please note: The actual amount of tokens or points deducted may fluctuate due to the model you choose, real-time task processing volume, data processing depth, system load, etc. The actual settlement amount shall prevail. If abnormal deductions occur, you can contact us in accordance with the methods specified in this agreement.

8.6.3 Token or points will be deducted based on actual resource consumption after you initiate a session, request or task. The deduction of Tokens or points has nothing to do with whether the generated results meet the user's expectations. Even if the generated content does not fully meet the user's expectations, the deducted Tokens or points will not be refunded.

8.6.4 The subscription service provides the computing resource consumption quota for model calling, helping you to call large model services within the scope supported by this software. The third-party models and technical resources called by this software may change according to the model manufacturer's version upgrade, interface adjustment, service suspension, etc. You understand and agree that, as a technical service provider, although we will take necessary safety management measures or reasonably prudent measures for third-party models, codes, technologies, etc. called by the subscription service, this does not mean that we make a commitment to the timeliness, availability, security, and compliance of third-party models and technical services and the content they generate.

8.6.5 We may adjust the charging standards, charging methods, subscription rights, billing rules, functional scope, resource quotas, usage restrictions, etc. of the subscription service based on service planning, changes in model manufacturer resources, technological development, etc. The aforementioned adjustments will be announced in advance on the product page or notified to you in other reasonable ways. Unless otherwise provided by laws and regulations, such adjustments will not affect the current subscription services that you have purchased and are already in effect. If you purchase, renew or enter a new subscription cycle after the adjustment takes effect, the charging standards, service content and related rules in effect at that time will apply.

8.7 Advertisement

8.7.1 You agree that Margay may itself or entrust a third party to send or display advertisements or other information (including commercial and non-commercial information, etc.) to you through various methods such as text messages, emails or electronic messages. The specific sending and display format, frequency and content of advertisements or other information are subject to actual provision.

8.7.2 Margay will conduct advertising business in accordance with relevant laws and regulations. You should carefully judge the authenticity and reliability of advertisements appearing on this service.

9. User Code of Conduct

9.1 Information content specifications

You understand and agree that Margay has always been committed to providing users with a civilized, healthy, standardized and orderly network environment. You may not use this service to create, upload, copy, publish, transmit, disseminate or reproduce content that may interfere with the normal operation of this service, or infringe the legitimate rights and interests of other entities, or violate national laws and regulations, including:

(1) Opposing the basic principles established by the Constitution;

(2) Endangering national security, leaking state secrets, subverting state power, and undermining national unity;

(3) Damaging national honor and interests;

(4) Distort, vilify, blaspheme, or deny the deeds and spirit of heroes and martyrs, insult, slander, or otherwise infringe on the names, portraits, reputations, and honors of heroes and martyrs;

(5) Promote terrorism or extremism or incite the implementation of terrorist or extremist activities;

(6) Inciting ethnic hatred and discrimination and undermining ethnic unity;

(7) Undermining national religious policies and promoting cults and feudal superstitions;

(8) Spread rumors, disrupt social order, and undermine social stability;

(9) Spread obscenity, pornography, gambling, violence, terror or instigate crimes;

(10) Insulting or slandering others, infringing on others' reputation, privacy and other legitimate rights and interests;

(11) Use exaggerated titles, and the content is seriously inconsistent with the title;

Unless required by laws and regulations or with the written permission of Margay, you may not, authorize or assist others to use technical measures or other means to carry out the following actions:

(1) Disassemble, decompile, translate or otherwise attempt to discover the source code or underlying components of the service's models, algorithms and systems on this software and services and the programs, software, information, data, algorithms and models they rely on;

(2) Use automated or programmed methods to extract data from the software and services, for example, crawl, steal, collect or extract data from the software and services through "spider" programs, malicious programs or viruses and other forms, measures, programs, tools, etc. used to invade the network and interfere with normal network functions and protective measures; crack the technical protection measures of the software and services, or use improper means that may affect the normal operation of the software and services to crawl, steal, collect or extract data;

(3) Establish a mirror of the software and service web pages, or use technical means to reproduce or copy the software and services;

(4) Delete, modify, obscure or otherwise replace our and our partners’ business names, trademarks, service marks, domain names or other obvious signs that may be included in the process of providing this software and services, and delete the copyright statements, trademark statements or other ownership statements contained in this software and services;

(5) Delete, tamper with or conceal the identification of the artificial intelligence-generated content that we have marked (including prominent identification visible to the naked eye on the generated content and hidden identification embedded in the generated content metafile through specific technical means);

(6) Bypass or break through the technical protection measures set up by this software, third-party software and services, and conduct illegal intrusions into the network, interfere with the normal functions and operations of the network and services, and other behaviors that endanger network security and data security;

(7) Use this software and services to make malicious or exceeding regular frequency requests, calls or visits to third-party products, services or websites, or conduct traffic attacks, automated registration, batch operations and other behaviors that interfere with the normal operation of third parties;

(8) By modifying or forging the instructions or data in the operation of the software and services, adding, deleting, changing the functions, operating effects or output content of the software and services, or operating and disseminating software, methods or tools for the aforementioned purposes;

(9) Other behaviors that violate laws and regulations, infringe upon the legitimate rights and interests of other users, interfere with the normal operation of products, or are not expressly authorized by Margay.

If you violate the terms of this article, Margay has the right to take necessary measures to ensure the stable operation of the software and services, network and data security, and the legitimate rights and interests of users.

9.3 Responsibility for input content

You fully understand and agree that you are responsible for your actions when using this software and services. For your input, you should ensure that:

(1) The input content does not violate laws, regulations, or this agreement;

(2) The input content is owned by you or you have obtained the legal permission and authorization from the rights subject involved in the input content. It does not infringe the legitimate rights and interests of third parties, nor may the input content or other methods cause the service to generate content that infringes upon the legitimate rights and interests of third parties, such as intellectual property rights, portrait rights, reputation rights, privacy rights, trade secrets, etc.;

(3) If your input involves personal information, please ensure that you have obtained the informed consent of the relevant personal information subject. If sensitive personal information is involved, separate consent should be obtained.

9.4 Breach handling

9.4.1 You understand and agree that if Margay discovers or receives a report or complaint that a user violates this Agreement, Margay has the right to take measures such as deletion and blocking as appropriate, and, depending on the severity of the behavior, take measures such as warning, restricting or prohibiting the use of some or all functions, blocking, freezing, or even canceling the account of the relevant account of the subject. Users are responsible for the corresponding consequences and resulting legal responsibilities, including the erasure or inability to use user information and related data, products or services, etc.

9.4.2 You understand and agree that Margay has the right to punish violations of relevant laws and regulations or the provisions of this Agreement based on reasonable judgment, take appropriate legal actions against relevant users, save relevant information in accordance with the law, report and provide account-related information to relevant departments, cooperate with investigations, etc. Users shall solely bear the resulting legal responsibilities.

9.4.3 You understand and agree that you shall be solely responsible for any claims, demands or losses claimed by a third party due to your violation of the provisions of this Agreement or relevant terms of service; if Margay suffers losses as a result, you shall also compensate Margay.

10. Tips for use by minors

10.1 This service is mainly provided for adults. If you are a minor under the age of 18, you should be under the supervision and guidance of a guardian and obtain the guardian's consent before you can use this service after carefully reading and agreeing to this agreement.

10.2 We attach great importance to the protection of minors' personal information. When minors use the service, please strengthen their awareness of personal protection and treat it with caution. They should obtain the consent of their guardian and use the service correctly under the guidance of their guardian.

10.3 Minor users and their guardians understand and confirm that if minor users violate laws and regulations, this Agreement or the rules published on the relevant interfaces of this service, minor users and their guardians shall bear responsibility in accordance with legal provisions.

11. Intellectual property rights

11.1 Margay is the right holder of intellectual property rights such as programs and software that this service relies on. The copyrights, trademark rights, patent rights, trade secrets and other intellectual property rights of this service are protected by the laws and regulations of the People's Republic of China and corresponding international treaties. Margay enjoys the above-mentioned relevant intellectual property rights in accordance with the law, except for the rights that the relevant rights holders should enjoy in accordance with the provisions of the law. The copyright or trademark rights of the LOGO and other commercial marks used by Margay in this service belong to Margay.

11.2 You may not implement, utilize or transfer the above intellectual property rights by yourself or by allowing third parties to do so without the written consent of Margay or relevant rights holders.

11.3 This software may display or mention the name, brand or trademark of third-party software or services during operation, for example, the name of a custom model you configure. You understand that such display is for identification purposes only and is used to indicate that the software and services are interacting with the corresponding third party based on your input; this does not mean that we have an association or cooperative relationship with the third party. The third party’s brand and trademark rights remain with their respective rights holders.

11.4 The rights to the input content you submit through this software and the output content you obtain using the default large model of this software belong to you or the right holder who legally enjoys the intellectual property rights. Your use of this service will not affect the ownership of the rights to the aforementioned content. If you use a custom model to output content, the ownership of the rights and related rights and obligations of the content shall be governed by the agreement between you and the large model service provider. Please read and abide by its agreement or documentation when using the output content.

12. Terminal security responsibilities

12.1 You understand and agree that this software, like most Internet software, may be affected by a variety of factors, including user reasons, network service quality, social environment, etc.; it may also be affected by various security issues, including others illegally using user information to harass, other software downloaded and installed by users or websites they visit contain viruses, Trojans or other malicious programs, which threaten the security of the user's terminal device information and data, thereby affecting the normal use of this software. Therefore, you should strengthen your awareness of information security and personal information protection, properly keep your account passwords, and avoid damage to your own rights and interests.

12.2 It is the joint responsibility of Margay and you to maintain the security and normal use of the software. Margay will reasonably and prudently take necessary technical measures in accordance with industry standards to protect the information and data security of your terminal device, but you understand and agree that Margay cannot provide any guarantee in this regard.

12.3 You understand and agree that the Agent, workflow and tool calling functions of this software may involve access to and operations on the local file system. You should ensure that you understand the risks of related operations and take necessary backup measures. We are not responsible for local data loss, system configuration changes, or other irreversible operations caused by Agent automatic execution, tool invocation, or workflow running, unless we are legally responsible for intentional or gross negligence.

13. Third-party content, software and technology

13.1 When a user uses this software or requires Margay to provide specific services, this software may call content resources provided by a third party or support the user's use or access through a third party. The access content, use or access results are provided by the third party, and the intellectual property liability for the corresponding content, software or technology is borne by the third party.

13.2 If this software uses third-party software or technology, Margay will follow relevant regulations or conventions, and the relevant agreements or other documents may be displayed through attachments to this agreement, packaging in specific folders of this software installation package, or through open source software pages. They may be expressed in the form of "Software License Agreement", "Authorization Agreement", "Open Source Code License" or other forms. The aforementioned relevant agreements or other documents presented in various forms are an integral part of this Agreement and have the same legal effect as this Agreement. You should comply with these requirements. If you fail to comply with these requirements, the third party or state agency may file lawsuits, fines or take other sanctions against you and require Margay to provide assistance. You shall bear legal responsibility yourself.

13.3 Any disputes arising from the third-party content resources, software or technology provided or uploaded to this software and your use of this software to handle third-party content resources, software or technology shall be resolved by you and the third party, and Margay does not assume any responsibility. Margay does not provide customer service support for third-party content resources, software or technology. If you need to obtain support, please contact the third party. If Margay suffers any direct or indirect damage or loss as a result, you shall compensate Margay.

13.4 This software may use third-party software or technology, and Margay and the third party shall bear their respective responsibilities within the scope of laws and regulations. Disputes arising from third-party software or technology shall be resolved by the third party. Margay does not provide support for third-party software or technology. If you need support, please contact the third party.

13.5 For MCP services, third-party tools, third-party models, database connections, API services, etc. that users access by themselves, the corresponding service provider is responsible for their data processing behavior, service availability and security. Margay does not provide guarantees on the stability, security, and compliance of the above-mentioned third-party services.

14. Limitation of Liability

14.1 You fully understand and agree that you are responsible for your actions and consequences of using this service, especially when it comes to decision-making on major matters such as credit, investment and financing, financial management, insurance, law, medical care, education, etc. You should make your own judgment on the content you come into contact with when using this service, including risks arising from reliance on the correctness, completeness or practicality of the output content. In particular, you have the final and complete review and decision-making responsibility for operations that may have significant impact or irreversible consequences, such as deleting files in batches, modifying key system configurations, performing financial transactions, etc.

14.2 You understand and agree that in the process of using this software and services, you may encounter force majeure and other risk factors, which may affect the software and services. Force majeure refers to objective events that cannot be foreseen, overcome and avoided and have a significant impact on one or both parties, including natural disasters such as floods, earthquakes, epidemics and storms, and social events such as wars, unrest, government actions, etc. When the above situation occurs, Margay will strive to cooperate with the relevant units as soon as possible and strive to handle it in a timely manner. However, Margay will not be liable for any losses caused to you to the extent permitted by law.

14.3 Please note that, to the extent permitted by law, Margay is not responsible for service interruption or obstruction caused by the following circumstances:

(1) Damaged by computer viruses, Trojan horses or other malicious programs and hacker attacks;

(2) The user’s computer software, system, hardware and communication lines fail;

(3) The user operates improperly or the user uses the software and services in a manner not authorized by Margay;

(4) The software version used by the user is outdated, the user equipment is aging or its compatibility issues;

(5) Other circumstances beyond Margay’s control or reasonably foreseeable.

14.4 You understand and agree that Margay will use technical means to ensure the security of your data storage in this software as much as possible. To the extent permitted by laws and regulations, Margay is not responsible for the deletion or failure to store your relevant data in this software and services due to non-Margay reasons.

14.5 The operations that this software assists in executing are all based on the output content formed after the large language model understands and analyzes your input content. Given the limitations of the technology, large language models can misinterpret your inputs or produce unpredictable outputs without clear intent. Although we may set up a user confirmation step before some operations, we are not responsible for losses caused by misunderstandings of large language models, execution deviations, or unexpected automated behaviors, unless we are legally liable due to intentional misconduct or gross negligence. Before performing any operation, you should review it to determine its accuracy and potential consequences.

14.6 You understand and agree that automated capabilities such as Agent's autonomous execution of tasks and automatic workflow running may produce unexpected operational results. Although we take security measures such as permission verification, abnormal behavior detection, and sensitive operation auditing, we do not bear corresponding responsibility for losses caused by Agent's independent decision-making, deviations in judgment of workflow conditions, or abnormal tool calls, except for cases where we are legally responsible due to intentional or gross negligence.

15. Others

15.1 This agreement is signed through the Internet. The place of signing of this agreement is Beijing, the People's Republic of China.

15.2 The establishment, effectiveness, performance, interpretation and dispute resolution of this agreement shall be governed by the laws of the mainland of the People's Republic of China (excluding conflict of laws).

15.3 If a dispute or dispute arises between you and Margay, it should first be resolved through friendly negotiation; if the negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the people's court with jurisdiction in the place where this agreement is signed.

15.4 The titles of all clauses in this agreement are only for convenience of reading and have no actual meaning in themselves and cannot be used as a basis for interpreting the meaning of this agreement.

15.5 No matter whether the terms of this agreement are partially invalid or unenforceable for any reason, the remaining terms will remain valid and binding.
